Shanghai Songjiang Vibration Absorber Group Co., Ltd. received notification from the China Chemical Equipment Association to conduct an appraisal review on September 18, 2016. Upon successful review, this will result in the issuance of the TS Pressure Pipeline Production License, facilitating the use of Songjiang Group’s distributors for bidding purposes. Pressure Pipeline Component Manufacturing License Appraisal Review
Technical Service Agreement
Party A (Commissioning Party): Shanghai Songjiang Vibration Absorber Group Co., Ltd.
Party B (Trustee): China Chemical Equipment Association
Party A is a pressure pipeline component manufacturing unit. Party B, approved by the General Administration of Quality Supervision, Inspection and Quarantine, acts as the appraisal review body for manufacturing licenses of pressure pipeline components. It undertakes the manufacturing license review work for Pressure Pipeline Components – Grade A, B: Steel seamless pipe fittings, forged flanges, forged fittings, and valve body forgings; Grade B: All other items. Party A applies for the pressure pipeline component manufacturing license in accordance with regulations and entrusts Party B to conduct on-site inspections for manufacturing license review and submit comprehensive appraisal materials. To facilitate the work, both parties, through amicable negotiations, have reached unanimous agreement on the following issues and pledge to strictly adhere to them:
I. The typical products applied for and entrusted to Party B by Party A for appraisal review of the pressure pipeline component manufacturing license are:
- Metal Bellows Expansion Joints Grade B;
- Non-metal Bellows Expansion Joints Grade B.
II. Party A and Party B agree to schedule the appraisal review work between September 18th and September 19th, 2016. Party B guarantees to inform Party A at least one week in advance after confirming the appraisal review team’s itinerary.
III. Upon Party A’s invitation, Party A shall provide Party B with:
- One original copy of the Special Equipment Manufacturing License Application (already accepted);
- Three copies of the “Special Equipment Appraisal Review Invitation Letter”;
- Special equipment quality manual;
- One copy each of the design document appraisal report and product type test report (when required).
IV. Party A undertakes to prepare adequately before the appraisal review work begins, providing the appraisal review team with complete, accurate, and authentic relevant information and trial products (trial products should meet and cover the accepted licensing items), and will cooperate closely during the appraisal review work.
V. Party B undertakes to conduct the appraisal review objectively and impartially in accordance with the regulations and standards of pressure pipeline component manufacturing licenses, and to make appraisal review conclusions based on facts.
VI. Party B solemnly promises to strictly keep Party A’s technical secrets, intellectual property rights, and other related information confidential during the appraisal review process.
VII. Party A shall bear the round-trip airfare, transportation, accommodation, travel expenses, and service fees of the appraisal review team members (not exceeding three persons), and shall be responsible for arranging and providing living and working conditions for the appraisal review team.
VIII. Party A shall pay Party B the appraisal review fee of RMB 15,000 (fifteen thousand yuan) as stipulated, and shall pay it into the designated account before the appraisal review work arrangement.
IX. After the agreement comes into effect, Party B shall provide Party A with the “Pressure Pipeline Component Manufacturing License Appraisal Review Guide” to facilitate Party A’s preparation for the review.
X. Party B shall assist Party A in handling the application acceptance and manufacturing license work, creating conditions for Party A to complete the manufacturing license.
XI. Party B pledges to provide Party A with free guidance services such as information, inquiries, answers, and exchanges through various means such as the internet, telecommunications, letters, and face-to-face discussions.
XII. In the execution of this agreement, in case of breach of contract or disagreement, both parties shall resolve the matter in a spirit of friendly consultation, mutual understanding, and compromise. If consensus cannot be reached, the severity of the situation shall be reported to the National Security Supervision Agency for arbitration.
XIII. This agreement is made in duplicate, with each party holding one copy, both having equal legal effect.
XIV. This agreement shall take effect from the date of signature and seal by both parties.
